1. Business Relationship

These Terms and Conditions (“Terms”) govern the business relationship between TIANJIN KINGTYRE GROUP CO., LTD (“KingTyre,” “we,” “us,” or “our”) and the purchaser (“Buyer” or “you”) of products from our website https://www.chinakingtyre.com. By placing an order or using our website for business purposes, you agree to be bound by these Terms.

2. Products and Quotations

2.1 All product specifications, descriptions, and images on our website are provided for informational purposes and may not reflect exact final specifications. Product dimensions, tread patterns, and compound formulations are subject to manufacturing tolerances and may vary slightly between production batches.

2.2 Quotations provided by KingTyre are valid for 15 days from the date of issuance unless otherwise stated in writing. All quotations are based on EXW (Ex Works) Tianjin, China terms unless otherwise agreed in writing.

2.3 Minimum Order Quantities (MOQs) apply for all products. MOQs are specified in individual quotations and may vary by product model and specification.

3. Orders and Acceptance

3.1 All orders are subject to written acceptance by KingTyre. A contract is formed only when KingTyre issues a written Order Acknowledgement or Proforma Invoice to the Buyer.

3.2 The Buyer shall review all order acknowledgements promptly and notify KingTyre of any discrepancies within 3 business days of receipt.

4. Pricing and Payment

4.1 All prices are quoted in the currency specified in the quotation or Proforma Invoice. Prices do not include import duties, taxes, insurance, or freight charges unless explicitly stated.

4.2 Payment terms are as specified in the Proforma Invoice. Standard terms for new Buyers require 100% T/T (Telegraphic Transfer) or L/C (Letter of Credit) at sight. Established Buyers may qualify for alternative terms subject to credit approval.

4.3 Risk and title to products shall pass to the Buyer in accordance with the Incoterms specified in the Proforma Invoice.

5. Manufacturing and Delivery

5.1 Lead times are estimates only and commence from the date of KingTyre’s Order Acknowledgement. KingTyre shall make reasonable efforts to meet estimated delivery dates but shall not be liable for delays caused by force majeure, raw material shortages, production capacity constraints, or shipping disruptions.

5.2 Partial shipments are permitted unless expressly prohibited in the Proforma Invoice.

6. Inspection and Acceptance

6.1 The Buyer shall inspect all products upon receipt. Any claims for defects, shortages, or non-conformity must be submitted in writing within 7 business days of receipt.

6.2 If the Buyer fails to notify KingTyre of any defects within the specified period, the products shall be deemed accepted as conforming to the order.

7. Warranty

7.1 KingTyre warrants that its products will be free from defects in materials and workmanship for a period of 12 months from the date of shipment (the “Warranty Period”).

7.2 This warranty does not cover:

  • Normal wear and tear
  • Damage caused by improper installation, use, or maintenance
  • Products modified or altered after shipment
  • Damage resulting from accidents, misuse, or abuse
  • Products not used in accordance with manufacturer guidelines

7.3 KingTyre’s sole obligation under this warranty shall be, at its option, to repair, replace, or issue a credit for non-conforming products. This warranty is the exclusive warranty provided by KingTyre and supersedes all other warranties, express or implied.

8. Limitation of Liability

8.1 To the maximum extent permitted by applicable law, KingTyre shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or business interruption.

8.2 KingTyre’s total liability arising from or related to these Terms or the sale of products shall not exceed the purchase price paid by the Buyer for the products giving rise to the claim.

9. Intellectual Property

9.1 All intellectual property rights in KingTyre’s products, trademarks (including “KingTyre” and related marks), designs, specifications, and website content are owned by TIANJIN KINGTYRE GROUP CO., LTD.

9.2 The Buyer shall not reproduce, modify, distribute, or create derivative works based on KingTyre’s intellectual property without prior written consent.

10. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information shared during the business relationship, including pricing, product specifications, customer data, and business strategies. This obligation survives the termination of the business relationship for a period of 3 years.

11. Governing Law and Dispute Resolution

11.1 These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China.

11.2 Any disputes arising from these Terms shall first be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Beijing, in accordance with its rules then in effect.

12. Force Majeure

Neither party shall be liable for failure or delay in performing obligations under these Terms if such failure is caused by events beyond the party’s reasonable control, including but not limited to natural disasters, war, terrorism, government actions, pandemic, labor disputes, or supply chain disruptions.

13. Entire Agreement

These Terms, together with the Proforma Invoice and Order Acknowledgement, constitute the entire agreement between the parties regarding the purchase and sale of products and supersede all prior agreements and understandings.
